Terms of Service

By creating an account, accessing, or using Legacy, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

Legacy provides a secure platform for storing, managing, and sharing files with designated beneficiaries. Our Service includes:

• Secure file upload and storage
• Beneficiary designation and management
• Time-delayed access controls
• Access request and approval workflows
• Secure file download with access codes
• Activity tracking and notifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Account Verification: We may require you to verify your email address and identity before accessing certain features.

One Account Per User: You may only create and maintain one account unless expressly authorized by Legacy.

You agree not to use the Service to:

• Upload, store, or share illegal, harmful, or fraudulent content
• Violate any applicable laws, regulations, or third-party rights
• Upload malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for any commercial purpose without authorization
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Scrape, copy, or reverse engineer any part of the Service

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content and terminating accounts.

Your Content: You retain all ownership rights to the files and content you upload to the Service ("User Content"). By uploading User Content, you grant Legacy a limited license to store, process, and transmit your files solely for the purpose of providing the Service.

Content Responsibility: You are solely responsible for the legality, reliability, and appropriateness of your User Content. We do not monitor or review User Content but reserve the right to do so.

Storage Limits: File storage is subject to limits based on your subscription plan. We may delete files that exceed storage limits or violate these Terms.

File Retention: Files are retained according to the expiry period you select. We are not responsible for files that expire or are deleted according to your settings.

Prohibited Content: You may not upload content that is illegal, infringes intellectual property rights, contains malware, or violates these Terms.

Designation: You may designate beneficiaries to access your files. You are responsible for ensuring you have the right to share files with designated beneficiaries.

Notification: Beneficiaries will receive email notifications when designated. You are responsible for providing accurate beneficiary email addresses.

Acceptance: Beneficiaries must accept their nomination before requesting access to files.

Changes: You may add or remove beneficiaries at any time. Changes will take effect immediately.

Request Process: Beneficiaries may request access to files. Access requests are subject to your approval within the specified time window.

Approval Window: You have 48 hours to approve or deny access requests. Failure to respond within this window may result in automatic denial.

Access Codes: Upon approval, beneficiaries receive a one-time access code valid for 7 days. Access codes expire after one use or after the validity period.

No Guarantee: Legacy does not guarantee that access requests will be fulfilled. File access is entirely at your discretion.

Subscription Plans: Legacy offers Free, Basic, and Premium subscription plans with different features and storage limits.

Payment: Paid subscriptions are billed monthly or annually in advance. Payment is processed through our third-party payment processor (Stripe).

Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your account settings.

Refunds: Fees are non-refundable except as required by law. If you cancel your subscription, you will retain access until the end of your billing period.

Price Changes: We may change our prices at any time. We will provide at least 30 days' notice of any price increases.

Our Property: The Service, including its design, features, text, graphics, and software, is owned by Legacy and protected by copyright, trademark, and other laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Trademarks: "Legacy" and associated logos are trademarks of Legacy. You may not use our trademarks without permission.

By You: You may terminate your account at any time through your account settings. Upon termination, your files will be deleted according to our data retention policy.

By Us: We may suspend or terminate your account at any time for any reason, including violation of these Terms, with or without notice.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your files and data but are not obligated to do so.

Survival: Sections of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free from viruses or harmful components
• Results obtained from using the Service will be accurate or reliable

You use the Service at your own risk. We recommend maintaining backup copies of all important files.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes damages for:

• Loss of profits, data, or use
• Business interruption
• Unauthorized access to your files
• Errors or omissions in content

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Legacy, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

We will always display the "Last Updated" date at the top of these Terms.

Governing Law: These Terms are governed by the laws of the Republic of Cyprus without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Legacy regarding the Service.

Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
